Zaruri Terms of Use
Effective date: October 21, 2026
These Terms govern your use of the Zaruri website and application (the "Service") provided by Zaruri Technologies Inc. ("Zaruri", "we", "us"). By using the Service you agree to these Terms. If you use the Service for a firm, you confirm you may bind that firm ("Customer").
1. The Service
Zaruri is a workspace for tax professionals. Features may change as we improve the Service; during early access some features may be limited or experimental.
2. Accounts
You must give accurate information, keep your sign-in credentials secure, use multi-factor authentication where required, and tell us promptly about unauthorized use. You are responsible for activity under your account. Customers control who in their firm has access.
3. Professional responsibility; not tax advice
Zaruri is a tool for professionals. It does not provide tax, legal or accounting advice and does not prepare or file returns on its own. Automated results are suggestions that may be incomplete or wrong. The Customer and its professionals are solely responsible for reviewing all results, for their professional judgment, and for the advice and filings they give their clients.
4. Customer content
Customers keep all rights to the content they upload ("Customer Content"). Customers grant Zaruri the rights needed to host, process and display Customer Content only to provide and secure the Service. Customers are responsible for having the right and any required client consent to upload and process Customer Content, including taxpayer information, and for meeting their own legal obligations (for example, IRS and FTC data-security rules and client confidentiality). Our handling of personal information is described in the Privacy Policy.
5. Connected services
If you connect a third-party service, such as Google Calendar, your use of that service is also governed by its terms. You authorize Zaruri to access that service as you permit and can disconnect at any time. We are not responsible for third-party services.
6. Acceptable use
You will not: break the law or others' rights; upload malware; try to access other Customers' data or bypass security; probe, scan or test vulnerabilities without our written permission; reverse engineer the Service except where the law allows; resell the Service without our agreement; or use the Service to send unsolicited messages.
7. Fees
Paid plans, if any, are described at purchase or in an order. Fees are due as stated and are non-refundable except where required by law or stated otherwise.
8. Confidentiality and security
We protect Customer Content as described in the Privacy Policy. Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms.
9. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if you breach these Terms, if required by law, or to protect the Service or others. After termination, Customers may request an export of Customer Content within 30 days; afterwards we delete it except as required by law.
10. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
11. Limitation of liability
To the extent permitted by law, Zaruri will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, data or goodwill, and Zaruri's total liability for any claim is limited to the amounts the Customer paid Zaruri in the 12 months before the claim or USD 100 if nothing was paid.
12. Indemnity
The Customer will defend and indemnify Zaruri against claims arising from Customer Content, the Customer's professional services to its clients, or the Customer's breach of these Terms.
13. Changes
We may update these Terms. We will post changes here and update the effective date; material changes will be notified in advance by email or in the Service. Continued use means acceptance.
14. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts in Bergen County, New Jersey.
